Terms of Use

1. Acceptance of Terms

By accessing or using CLARICE ("the Platform"), a production intelligence platform operated by Inteprods LLC ("we," "our," or "us"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Platform. These terms apply to all users, including administrators, crew members, and any other individuals who access the Platform.

2. Description of Service

CLARICE is a cloud-based production management platform designed for film, television, commercial, and media productions. The Platform provides tools for budgeting, scheduling, crew management, payroll tracking, document management, casting, and related production workflows. Features are made available based on your subscription plan.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old to create an account and use the Platform.
• You must notify us immediately of any unauthorized use of your account.

4. Subscription & Payment

Access to certain features requires a paid subscription. By subscribing you agree to the following:

• Subscription fees are billed in advance on a monthly or annual basis.
• All fees are non-refundable except as required by law or expressly stated otherwise.
• We reserve the right to change pricing with 30 days' notice to active subscribers.
• Failure to pay may result in suspension or termination of your account.
• Add-on features are billed separately and subject to the same terms.

5. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable laws or regulations.
• Upload or transmit malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to any part of the Platform or its infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Resell, sublicense, or commercially exploit the Platform without prior written consent.
• Upload content that infringes on any third-party intellectual property rights.
• Harass, abuse, or harm other users of the Platform.

6. Intellectual Property

All rights, title, and interest in the CLARICE Platform — including its software, design, trademarks, and content — are owned by Inteprods LLC. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your internal business purposes.

You retain ownership of all content and data you upload to the Platform ("User Content"). By uploading User Content, you grant Inteprods LLC a limited license to host, store, and display that content solely to provide the service to you.

7. Third-Party Integrations

The Platform integrates with third-party services including but not limited to DocuSign, Stripe, and others. Your use of these integrations is subject to the respective third-party terms of service. Inteprods LLC is not responsible for the availability, accuracy, or conduct of any third-party services.

8. Data & Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your data as described in the Privacy Policy.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Inteprods LLC does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content on the Platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTEPRODS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Inteprods LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Platform, your User Content, or your violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. You may also terminate your account at any time by contacting us. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and applicable federal law, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in San Juan, Puerto Rico, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify active users of material changes via email or in-app notification at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
